Terms of Service

1. Agreement to Terms

By accessing or using Nyphex Alerts ("the Service"), operated at alerts.nyphex.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Service Description

Nyphex Alerts is a SaaS platform that monitors CRM pipelines (Pipedrive and HubSpot) and delivers intelligent notifications including stalled deal alerts, win/loss updates, stage change tracking, and pipeline digests to messaging platforms (Slack, Google Chat, Microsoft Teams) and email.

3. Account Creation

Accounts are created through OAuth 2.0 authentication with a supported CRM provider. By connecting your CRM account, you authorize Nyphex Alerts to access deal event metadata necessary to provide the Service. You are responsible for maintaining the security of your CRM credentials and for all activity that occurs under your account.

4. Pricing and Billing

Nyphex Alerts offers the following plan tiers:

• Free — $0/month (3 rules, 1 channel, 100 notifications/month)
• Starter — $15/month (10 rules, 3 channels, 500 notifications/month)
• Pro — $39/month (30 rules, 10 channels, 5,000 notifications/month)
• Team — $79/month (unlimited rules and channels, 5 CRM connections)

Paid subscriptions are billed monthly through Stripe. You may upgrade, downgrade, or cancel at any time. Downgrades and cancellations take effect at the end of the current billing period. Refunds are not provided for partial billing periods.

5. Notification Limits

Each plan includes a monthly notification quota. When you reach 80% of your limit, we will notify you. Once the limit is reached, notifications are paused until the next billing cycle or until you upgrade your plan. Unused notifications do not roll over.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to send spam or unsolicited messages
• Exceed rate limits or abuse API endpoints
• Share account credentials or allow unauthorized third-party access
• Interfere with or disrupt the integrity or performance of the Service

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Free plan does not include any service level agreement (SLA). Paid plans include reasonable-effort uptime targets but no guaranteed SLA. Scheduled maintenance windows will be communicated in advance when possible.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of all data you provide to the Service. We process CRM event metadata solely to deliver notifications and do not claim ownership of your data.

9. Intellectual Property

The Service, including its design, code, and branding, is the property of Nyphex Alerts. These Terms do not grant you any rights to use Nyphex Alerts trademarks or branding without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Nyphex Alerts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold Nyphex Alerts harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

You may terminate your account at any time by disconnecting your CRM and contacting us. We may suspend or terminate your access if you violate these Terms or engage in abusive behavior. Upon termination, your data will be deleted in accordance with our Privacy Policy retention schedule.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation before pursuing formal proceedings.
